UNSOLICITED SUBMISSION AGREEMENT

The undersigned is submitting information to ANVÄNDA including, but not limited to text, writings, suggestions, photographs, graphics, images, videos, inventions, discoveries, ideas, slogans, copyrighted materials, trademarked materials, trade dress, data, prototypes, and/or the like (collectively "Information") relating to
It is understood and agreed that by submitting a submission you are presenting all Information to ANVANDA on a strictly non-confidential basis. No express or implied confidential relationship is or will be established by ANVANDA's consideration or use of the Information. Except to the extent that the Information is protected by applicable patent laws, there are no restrictions whatsoever placed on ANVANDA's rights to use, disclose, modify or copy the Information in any manner. The undersigned does not grant ANVANDA, or any of its related or affiliated companies, any rights under any patent which has been obtained or may be obtained in the future on the Information. The undersigned will make no claim against and hereby releases all claims against ANVANDA and/or any of its related or affiliated companies with respect to any Information, including but not limited to, copyright, trademark, trade dress, trade secret or confidential information infringement and/or misappropriation, except for infringement of any valid patent held by the undersigned and of which ANVANDA has actual written notice.
The undersigned represents that it is the owner of all Information presented to ANVANDA. The undersigned agrees not to disclose to ANVANDA any Information which the undersigned does not have the free, complete and unrestricted right to disclose to ANVANDA, and hereby indemnifies and holds ANVANDA harmless against any liabilities and/or expenses resulting from any breach of this agreement. The undersigned agrees that presentation of Information to ANVANDA is gratuitous and unsolicited. In the absence of an express written agreement to the contrary signed by an officer of ANVANDA or unless required by applicable patent laws, no compensation is due to the undersigned either for such presentation or for any use or disclosure of the Information by ANVANDA. ANVANDA is under no obligation whatsoever to pay a finder’s fee or other compensation to the undersigned or to any agent of the undersigned. The undersigned further agrees that ANVANDA may use or not use the Information in any manner that ANVANDA desires at ANVANDA’s sole discretion with no obligation to the undersigned other than as required by applicable laws regarding patents.
The foregoing may not be changed or waived except in writing signed by an officer of ANVANDA and shall apply to any additional information presented subsequent to the original information. ANVANDA is under no obligation whatsoever to return any material submitted by the undersigned.
